This End User License Agreement, called the Agreement, is a legal agreement between you and Skills Tech Talk, LLC regarding your use of OpenThunder, including the desktop application, command-line tools, IDE extensions, plugins, documentation, updates, and related local or cloud-connected features.

PLEASE READ CAREFULLY. This Agreement includes important provisions that affect your legal rights, including a disclaimer of warranties (Section 24), a limitation of liability (Section 25), and a binding individual arbitration agreement with a class-action, collective-action, and jury-trial waiver (Section 28). By accepting this Agreement you agree to resolve disputes by individual arbitration and waive the right to a jury trial and to participate in a class action, except as described in Section 28, which includes a 30-day opt-out right.

By downloading, installing, accessing, or using OpenThunder, you agree to this Agreement. If you do not agree, do not download, install, access, or use OpenThunder.

1. What OpenThunder Is

OpenThunder is a developer tool that helps users analyze software repositories, understand architecture, evaluate code health, identify security risks, generate AI-agent context, verify changes, create evidence packs, and produce repo mastery practice materials.

2. Acceptance and Electronic Agreement

You accept this Agreement when you click "I agree," check an acceptance box, or download, install, access, or use OpenThunder, whichever occurs first. You agree that your electronic acceptance has the same legal effect as a handwritten signature and that this Agreement is enforceable as an electronic (clickwrap) contract to the maximum extent permitted by law.

If you accept on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to both you and that organization. If you do not agree, you have no license and must not use OpenThunder.

3. License Grant

Subject to this Agreement, Skills Tech Talk, LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use OpenThunder for your internal development, evaluation, and software analysis purposes.

This Agreement does not sell OpenThunder to you. OpenThunder is licensed, not sold. Skills Tech Talk, LLC and its licensors retain all right, title, and interest in and to OpenThunder, including all intellectual property rights. All rights not expressly granted are reserved.

4. Free Local Use

OpenThunder may provide free local features, including local scans, local reports, local agent prompt generation, local evidence packs, and local repository analysis.

Free local use does not require Skills Tech Talk, LLC to provide support, hosting, uptime, warranties, or continued availability of any particular feature.

Skills Tech Talk, LLC may change, improve, limit, or discontinue free features at any time, but the intent of OpenThunder is to keep meaningful local developer workflows available without requiring cloud use.

5. Paid Features, Team Features, and Enterprise Features

Some OpenThunder features may require a paid plan, subscription, enterprise agreement, cloud account, license key, or separate order form.

If you purchase paid features, your use may also be governed by an order form, subscription terms, marketplace terms, or enterprise agreement. If there is a conflict between this Agreement and a signed enterprise agreement, the signed enterprise agreement controls for that customer.

5.1 Self-Serve Purchasing

OpenThunder is offered on a self-service basis. You may purchase, upgrade, downgrade, renew, or cancel plans yourself through the online checkout and account tools, without negotiating with or contacting a salesperson. No statement on the website, in the application, or in marketing creates an obligation for Skills Tech Talk, LLC to provide human sales assistance, a custom quote, or a negotiated agreement, and no such assistance is required to purchase or use any plan. Where a plan lists an option to contact us, that option is a convenience and not a condition of sale.

Checkout, payment processing, invoicing, taxes, subscription management, and refunds are handled by Skills Tech Talk, LLC as merchant of record, or by its designated payment processor, under the terms presented at checkout. Choosing a paid plan directs you to that checkout. You authorize recurring charges for subscription plans until you cancel, and you agree to the pricing, billing period, and renewal terms shown at the time of purchase. Except as required by law or expressly stated at checkout, fees are non-refundable and are not prorated on cancellation.

5.2 Automated License Issuance, Verification, and Enforcement

Entitlement to paid features is granted through a license or subscription record that is issued, renewed, and revoked automatically based on your billing status. Issuance and enforcement are fully automated and do not require any action by Skills Tech Talk, LLC personnel. You acknowledge and agree that:

6. Accounts and Access

Some features may require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You agree to provide accurate account and billing information when required.

Skills Tech Talk, LLC may suspend or terminate access to paid or cloud features for non-payment, misuse, security risk, violation of this Agreement, or legal compliance reasons. Suspension, downgrade, and termination for these reasons may be automated and may occur without prior individual notice, based on your billing and entitlement status.

7. Ownership of Your Code and Content

You retain ownership of your source code, repository content, configuration files, prompts, reports, and other materials you analyze using OpenThunder.

Skills Tech Talk, LLC does not claim ownership of your code.

If you use local-only OpenThunder features, your code is intended to remain on your machine unless you choose to export it, upload it, connect a cloud feature, use a third-party AI provider, or configure OpenThunder to transmit data.

8. Cloud Features and Data Transmission

If you enable cloud, team, hosted scan, synchronization, or third-party integration features, OpenThunder may transmit data needed to provide those features.

Depending on your settings, transmitted data may include:

OpenThunder should not transmit raw source code to Skills Tech Talk, LLC by default unless a cloud feature, hosted scan, enterprise configuration, or explicit user action requires it. You are responsible for reviewing settings and export previews before enabling external transmission.

9. SkillsTechTalk Export

OpenThunder may generate practice packs for SkillsTechTalk.com, including architecture explanation prompts, PR defense prompts, security explanation prompts, flashcards, oral practice prompts, and senior engineer packets.

By default, SkillsTechTalk exports should avoid including raw source code unless you explicitly choose to include it.

Before exporting to SkillsTechTalk.com, you are responsible for reviewing what will be sent and confirming that you have permission to share it.

10. AI Features and Third-Party AI Providers

OpenThunder may generate prompts, context packs, analysis summaries, recommendations, and AI-agent instructions for tools such as Claude Code, Codex, Cursor, GitHub Copilot, local models, or other AI systems.

OpenThunder may also integrate with third-party AI providers if you configure those providers.

You understand that:

11. Assumption of Risk; Independent Professional Judgment; No Reliance

OpenThunder is a tool for software professionals. You acknowledge and agree that:

11.1 File Modification, Version Control, and Data Loss

OpenThunder, including its mission, agent, autofix, and change features, may create, modify, move, overwrite, or delete files in your repositories, working directories, and connected locations. You acknowledge and agree that:

12. Security Analysis Disclaimer

OpenThunder may identify code health issues, security risks, AI Security risks, prompt injection risks, RAG risks, tool-use risks, suspicious patterns, or architecture concerns.

OpenThunder does not guarantee that your software is secure, compliant, error-free, production-ready, or free from vulnerabilities.

OpenThunder may produce false positives and false negatives. You are responsible for independent review, testing, threat modeling, security assessment, and compliance decisions.

OpenThunder is not a replacement for professional security review, penetration testing, legal review, compliance review, or secure software development practices.

13. Restrictions

You may not:

14. Acceptable Use for Security Features

OpenThunder security features are intended for defensive use on codebases, applications, systems, and repositories you own or are authorized to assess.

You agree not to use OpenThunder to attack, exploit, compromise, or gain unauthorized access to third-party systems.

15. Open Source Components

OpenThunder may include open-source software components. Those components are governed by their respective open-source licenses.

Nothing in this Agreement limits rights you may have under applicable open-source licenses for those components.

Skills Tech Talk, LLC may provide notices, attribution, and license information for open-source components in documentation, application screens, or accompanying files.

16. Feedback

If you provide feedback, ideas, suggestions, bug reports, feature requests, or recommendations, you grant Skills Tech Talk, LLC a worldwide, perpetual, irrevocable, royalty-free license to use that feedback to improve, develop, market, and operate OpenThunder and related products without compensation to you.

You are not required to provide feedback.

17. Updates

Skills Tech Talk, LLC may provide updates, patches, improvements, or new versions of OpenThunder.

Updates may add, change, or remove features. Continued use of OpenThunder after an update means you accept the updated version and any applicable updated terms.

18. Beta, Experimental, and Preview Features

OpenThunder may include beta, preview, experimental, or early-access features.

These features may be incomplete, unstable, inaccurate, or changed without notice, are provided "as is" without any warranty, and are used at your own risk.

19. Privacy

Your use of OpenThunder is subject to the OpenThunder Privacy Policy, available at https://openthunder.dev/docs/privacy.html.

The Privacy Policy explains what data is collected, what stays local, what may be transmitted, how telemetry works, and how cloud or third-party integrations handle data.

20. Telemetry

OpenThunder may collect limited diagnostic or usage telemetry if enabled or permitted by your settings.

Telemetry should not include raw source code by default.

Where practical, OpenThunder should provide settings to disable non-essential telemetry.

Enterprise customers may receive additional telemetry controls under a separate agreement.

21. Confidentiality

If you use OpenThunder to analyze confidential or proprietary code, you are responsible for ensuring that your use, configuration, exports, AI-provider integrations, and team sharing comply with your confidentiality obligations.

Do not export, upload, or transmit confidential code or reports unless you have permission.

22. Third-Party Services and Marketplaces

OpenThunder may be distributed through websites, package managers, app stores, IDE marketplaces, or plugin marketplaces.

Your use may also be subject to third-party marketplace terms, including terms from Apple, Microsoft, JetBrains, GitHub, or other platform providers.

Marketplace terms do not reduce your obligations under this Agreement unless applicable law or the marketplace terms require otherwise.

23. Enterprise and Organization Use

If you use OpenThunder on behalf of an organization, you represent that you have authority to bind that organization to this Agreement.

The organization is responsible for its users' compliance with this Agreement.

Skills Tech Talk, LLC may require a separate enterprise agreement for enterprise features, self-hosted deployments, support, SSO, audit logs, or custom terms.

24. Term and Termination

This Agreement remains in effect until terminated.

You may terminate this Agreement by uninstalling OpenThunder and stopping all use.

Skills Tech Talk, LLC may terminate or suspend your license or access if you violate this Agreement, fail to pay applicable fees, misuse the product, create security risk, or use OpenThunder unlawfully.

Paid entitlements terminate automatically at the end of your billing period unless renewed, and may be revoked automatically on cancellation, failed payment, or chargeback as described in Section 5.2. On such termination of a paid entitlement, paid features stop and access degrades to the free tier automatically; the free, local features of OpenThunder remain available under this Agreement. Termination of a paid entitlement does not by itself terminate this Agreement as to your continued free use.

Upon termination, you must stop using OpenThunder and delete copies in your possession, except for reports or files you generated for your internal records.

Sections that by their nature should survive, including those concerning ownership, restrictions, disclaimers, limitation of liability, indemnification, confidentiality, feedback, dispute resolution and arbitration, limitation period, and governing law, survive termination.

25. Disclaimer of Warranties

OpenThunder is provided "as is" and "as available."

To the maximum extent permitted by law, Skills Tech Talk, LLC and its affiliates, licensors, and suppliers disclaim all warranties and conditions, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, security, availability, and error-free or uninterrupted operation, and any warranties arising from course of dealing or usage of trade.

Skills Tech Talk, LLC does not warrant that OpenThunder will detect every issue, vulnerability, risk, security flaw, code smell, architectural problem, AI Security risk, or compliance concern, or that outputs are accurate or complete.

You acknowledge that these disclaimers are a fundamental basis of the bargain and reflect the allocation of risk, including that OpenThunder is offered free or at low cost. Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you; in that case such warranties are limited to the minimum scope and shortest duration permitted by law.

26. Limitation of Liability

To the maximum extent permitted by law, Skills Tech Talk, LLC and its affiliates, officers, directors, employees, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost or corrupted data, business interruption, loss of goodwill, security incidents, or costs of substitute products or services, arising out of or relating to OpenThunder or this Agreement, however caused and under any theory of liability, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of Skills Tech Talk, LLC for all claims arising out of or relating to OpenThunder or this Agreement will not exceed the greater of:

  1. The amount you paid to Skills Tech Talk, LLC for OpenThunder during the twelve (12) months before the event giving rise to the claim; or
  2. One hundred U.S. dollars (US $100) if you used only free features.

These limitations apply even if any limited remedy is found to have failed of its essential purpose, and are a fundamental basis of the bargain between you and Skills Tech Talk, LLC. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you; in that case liability is limited to the minimum extent permitted by law.

27. Indemnification

If you use OpenThunder on behalf of a business, organization, or team, you agree to defend, indemnify, and hold harmless Skills Tech Talk, LLC and its affiliates, officers, directors, employees, and licensors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

28. Dispute Resolution; Binding Arbitration; Class-Action and Jury Waiver

Please read this section carefully. It affects your legal rights, including how disputes are resolved.

a. Informal resolution first. Before starting an arbitration or lawsuit, you agree to first contact Skills Tech Talk, LLC at the email in Section 33 and provide a written description of the dispute and the relief you seek, and to negotiate in good faith for at least sixty (60) days. Many disputes can be resolved this way.

b. Binding individual arbitration. Except for the carve-outs in subsection (e), any dispute, claim, or controversy arising out of or relating to OpenThunder or this Agreement that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court. The arbitration will be held in Wake County, North Carolina, or by videoconference or on documents where the rules allow. The arbitrator's award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

c. Class-action and jury waiver. To the maximum extent permitted by law, you and Skills Tech Talk, LLC each waive the right to a trial by jury and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.

d. 30-day opt-out. You may opt out of this arbitration and class-waiver section by sending written notice to the email in Section 33 within thirty (30) days after you first accept this Agreement, stating your name and that you opt out of arbitration. If you opt out, disputes will be resolved in the courts identified in Section 30. Opting out does not affect any other part of this Agreement.

e. Carve-outs. This section does not require arbitration of: (i) claims that qualify for small-claims court and are brought there on an individual basis; or (ii) claims by Skills Tech Talk, LLC for injunctive or equitable relief under Section 29 to protect its intellectual property or confidential information.

f. Severability of the class waiver. If the class-action/collective waiver in subsection (c) is found unenforceable as to a particular claim, then only that claim will be severed and brought in court under Section 30; the rest of this arbitration section remains in effect. If the entire arbitration agreement is found unenforceable, disputes will be resolved in the courts identified in Section 30.

29. Equitable Relief

You acknowledge that a breach of the license restrictions, intellectual-property, acceptable-use, or confidentiality provisions may cause Skills Tech Talk, LLC irreparable harm for which monetary damages are inadequate. Skills Tech Talk, LLC may seek injunctive or other equitable relief, without the need to post a bond, in addition to any other remedy, in any court of competent jurisdiction, notwithstanding Section 28.

30. Time Limit to Bring Claims

To the maximum extent permitted by law, any claim arising out of or relating to OpenThunder or this Agreement must be filed within one (1) year after the claim arose, or within the shortest period permitted by applicable law if one year is not permitted. Otherwise, the claim is permanently barred.

31. Export Control

You agree to comply with applicable export control, sanctions, and trade laws.

You may not use, export, or re-export OpenThunder in violation of applicable law or to prohibited countries, entities, or persons.

32. Government Use

If OpenThunder is used by or on behalf of the U.S. Government, it is provided as commercial computer software and commercial computer software documentation with only those rights granted to other users under this Agreement.

33. Force Majeure

Skills Tech Talk, LLC is not liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, power or network outages, cloud or third-party AI provider failures, internet or hosting failures, labor disputes, war, terrorism, civil unrest, government action, epidemics, or pandemics.

34. Assignment

You may not assign or transfer this Agreement or your license, in whole or in part, without Skills Tech Talk, LLC's prior written consent, and any attempted assignment in violation of this section is void. Skills Tech Talk, LLC may assign this Agreement freely, including in connection with a merger, acquisition, reorganization, financing, or sale of assets. This Agreement binds and benefits the parties and their permitted successors and assigns.

35. No Third-Party Beneficiaries

This Agreement does not create any third-party beneficiary rights, except that Skills Tech Talk, LLC's affiliates, officers, directors, employees, licensors, and suppliers are intended beneficiaries of the disclaimers, limitation of liability, and indemnification provisions and may enforce them.

36. Changes to This Agreement

Skills Tech Talk, LLC may update this Agreement from time to time.

If changes are material, Skills Tech Talk, LLC may provide notice through the website, application, email, release notes, or other reasonable means. Where required by law, material changes to the arbitration section will not apply retroactively to a filed dispute, and you may reject such changes as described in any notice.

Continued use of OpenThunder after changes become effective means you accept the updated Agreement.

37. Governing Law and Venue

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law rules, and by the Federal Arbitration Act as to Section 28.

Subject to Section 28 (arbitration), the state and federal courts located in Wake County, North Carolina, will have exclusive jurisdiction and venue for disputes arising from this Agreement, and you consent to their personal jurisdiction, unless applicable law requires another venue.

38. Severability

If any provision of this Agreement is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

39. No Waiver

Failure to enforce any provision of this Agreement does not waive the right to enforce that provision later. Any waiver must be in writing to be effective.

40. Entire Agreement

This Agreement, together with any applicable order form, enterprise agreement, privacy policy, marketplace terms, or supplemental terms, is the entire agreement between you and Skills Tech Talk, LLC regarding OpenThunder and supersedes all prior or contemporaneous understandings on that subject.
